Nonprofit Formation, Compliance & Readiness

501(c)(3) Reinstatement Services

Revoked status does not have to define what comes next. Move toward reinstatement with clarity and a practical plan.

Nonprofit advisor helping organizational leaders review records and prepare for tax-exempt status reinstatement.

Learning that an organization’s federal tax-exempt status has been revoked can feel overwhelming—especially when programs, fundraising activities, and community responsibilities are continuing. Reinstatement involves more than submitting another form. The organization may need to understand why the revocation occurred, determine which filings remain outstanding, reconstruct financial and operational information, and identify the appropriate path forward.

KYNU helps leaders understand what happened, what remains outstanding, and what needs to be addressed to move toward reinstatement. We review the available notices and records, help identify the applicable reinstatement process, reconstruct required information, prepare the appropriate filing, and strengthen the organization’s readiness to maintain compliance moving forward.

Is This Service Right for You?

When 501(c)(3) Reinstatement Support May Be the Right Fit

Federal tax-exempt status may be automatically revoked when an organization does not file its required annual returns or notices for three consecutive years. Reinstatement support may be helpful when:

  • The organization received an IRS notice stating that its federal tax-exempt status has been automatically revoked.
  • The organization discovered through an IRS search, grant application, donor request, or other process that it is no longer recognized as tax exempt.
  • One or more required annual Form 990-series returns or notices remain outstanding, and the organization is unsure what must be filed.
  • Financial, governance, or operational information must be reconstructed before the required filings or reinstatement application can be prepared.
  • Leaders need help determining which reinstatement process applies and whether the organization may qualify to request reinstatement retroactive to the date of revocation.
  • The organization wants to address the revocation while strengthening its records, filing procedures, and readiness to maintain compliance moving forward.

Organizations sometimes discover a revocation long after it occurred or when proof of tax-exempt status is needed for funding, banking, or another important purpose. KYNU approaches the situation without judgment and helps leaders understand what happened, what remains outstanding, and what must be addressed next.

This service may be appropriate for nonprofit, charitable, and faith-based organizations whose federal tax-exempt status has been automatically revoked and that need practical support preparing to seek reinstatement.

How KYNU Can Help

From Revoked Status
to a Clear Reinstatement Path

Every reinstatement situation is different. KYNU reviews what happened, what information is available, and what must be completed, then organizes the work into practical steps. Depending on the service plan, support may include:

Status and Filing-History Review

Review available IRS notices, tax-exempt organization records, the revocation date, prior exemption information, and the organization’s annual filing history to establish a clear starting point.

Reinstatement-Path Assessment

Evaluate the timing of the revocation, filing history, applicable form requirements, prior revocations, and other relevant circumstances to identify the reinstatement process the organization may pursue.

Financial and Organizational Reconstruction

Organize or reconstruct the financial, governance, program, and operational information needed to address outstanding filings and prepare the reinstatement application.

Outstanding Annual Filing Preparation

Determine which annual filings must be completed and prepare the applicable outstanding Form 990-series returns using the information and records available.

Reinstatement Application Preparation

Prepare the applicable reinstatement application, required schedules, supporting explanations, and related attachments based on the reinstatement process being pursued.

Ongoing Compliance Readiness

Help leaders establish stronger filing calendars, recordkeeping practices, internal responsibilities, and review procedures to reduce the risk of future filing problems.

The Value of a Clear Reinstatement Plan

A Thoughtful Reinstatement Process
Supports What Comes Next

Addressing revoked tax-exempt status requires the organization to look backward and forward. Leaders must understand the filing gaps and circumstances that led to the revocation while also preparing the required information and strengthening the practices needed for future compliance.

  • A Clearer Understanding of What Happened. Reviewing the organization’s filing history, IRS records, notices, and available information helps leaders understand when the revocation occurred, which filings were missed, and what requires attention.
  • A Reinstatement Approach Based on the Facts. Evaluating the organization’s circumstances helps identify the applicable reinstatement process and the filings, explanations, and supporting information that may be required.
  • More Organized Information and Filings. Reconstructing and organizing financial, governance, program, and operational information supports the preparation of applicable outstanding returns and the reinstatement application.
  • Stronger Readiness After Reinstatement. Establishing filing calendars, assigned responsibilities, organized records, and review procedures helps the organization prepare to maintain compliance if tax-exempt status is reinstated.

The goal is not simply to submit an application. A well-organized reinstatement process helps leaders address unanswered questions, prepare accurate information, and strengthen the practices needed to maintain the organization’s tax-exempt status moving forward.

Getting Started

From Initial Conversation
to Reinstatement Preparation

Getting started begins with a conversation about how the revocation was discovered, what the organization knows about its filing history, which records are available, and what prompted the organization to address the situation now.

01

Start With a Conversation

Tell us about the IRS notices or status information received, the organization’s recent activities, known filing gaps, available financial and governance records, previous attempts to address the revocation, and any upcoming deadlines or funding needs. KYNU will listen, ask questions, and help identify the appropriate next step.

02

Define the Reinstatement Support

We review the preliminary information and define the support needed, which may include status and filing-history research, information reconstruction, outstanding annual returns, application preparation, supporting explanations, responsibilities, and timing.

03

Begin the Reinstatement Work

Once the service plan is confirmed and the necessary information and records are available, KYNU begins the review, reconstruction, filing, and application work included in the service plan. Missing information, unresolved questions, document concerns, and items requiring additional attention are identified and addressed as the process moves forward.

Important to Know

A Few Important Things to Know

Clear expectations help KYNU and the organization work together productively.

  • The Service Plan Is Confirmed in Advance. Before work begins, KYNU and the organization confirm the status review, record reconstruction, annual filing preparation, reinstatement application, supporting explanations, responsibilities, timing, and other assistance included in the service plan. The organization is responsible for applicable IRS user fees, penalties, and other filing costs. These charges are separate from KYNU’s service fee.
  • The Reinstatement Process Depends on the Facts. The appropriate reinstatement process depends on the revocation date, filing history, forms the organization was required to file, prior revocations, timing of the application, and other relevant circumstances.
  • Outstanding Filings and Information May Be Required. Depending on the reinstatement process being pursued, the organization may need to complete applicable outstanding annual returns and reconstruct financial, governance, program, or operational information before the reinstatement materials can be finalized.
  • Complete and Accurate Information Is Essential. The organization is responsible for providing complete and accurate information, responding to questions, reviewing the prepared filings and application materials, approving organizational decisions, and obtaining the required signatures or authorizations.
  • The IRS Makes the Final Determination. KYNU can prepare the applicable filings and support the reinstatement process, but the IRS determines whether tax-exempt status is reinstated, the effective date of reinstatement, whether additional information is required, and how long the review will take.
  • Filing Responsibilities Continue. The organization and its board remain responsible for governance, financial management, recordkeeping, and applicable federal and state filings while the reinstatement request is pending and after tax-exempt status is restored.
